Twilio Champions Program Terms and Conditions

BY ACCEPTING OR OTHERWISE AGREEING TO THESE TWILIO CHAMPIONS PROGRAMS TERMS AND CONDITIONS, YOU AGREE TO BE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE WITH THESE TWILIO CHAMPIONS PROGRAMS TERMS AND CONDITIONS, YOU SHOULD NOT ACCEPT THEM OR APPLY TO BE IN THE TWILIO CHAMPIONS PROGRAM.
1. Introduction. Thank you for applying to become a member of the Twilio Champions Program (“Program”). The Program is a network of expert developers approved by Twilio (each, a “Twilio Champion” and collectively, “Twilio Champions") who actively support developer communities. Ideal Twilio Champions are individuals that have taken it upon themselves to serve as Twilio brand ambassadors and are passionate advocates for the greater developer community.
References to “Twilio,” “we,” and “our” mean Twilio inc. or its affiliates, as applicable, and references to “you” and “your” means the Twilio Champion agreeing to these Terms and Conditions (“T&Cs”). These T&Cs only apply to your participation in this Program and no other Twilio program that you may participate in.
2. Application Process. After (a) applying to the Program on the Twilio Champions website available at https://www.twilio.com/champions and (b) agreeing to these T&Cs, Twilio will review your application and, as Twilio deems appropriate, schedule an interview with you to discuss joining the Program and your contributions to the developer community. Twilio reserves the right to not move forward with your application during this process at any time. If Twilio does not approve or move forward with your application, you are (i) not considered a Twilio Champion and (ii) prohibited from exercising any rights and benefits under these T&Cs.
3. Program Membership Benefits and Perks. Twilio Champions will have access to perks and benefits, such as connections to Twilio employees, events, swag, the Twilio Champions Slack workspace, pre-released products. If you are not legally allowed to accept or participate in these benefits or perks, please do not accept or participate in them. These benefits and perks (a) are provided solely at Twilio’s discretion and may be discontinued at any time and (b) have no cash value.
4. Communications from Twilio and Your Personal Data. Once you become a Twilio Champion, Twilio will communicate updates and information about the Program to you using the email you provided when you joined the Program. Twilio reserves the right to share your name and email address with other Twilio Champions and any use or processing of your personal data is subject to our Privacy Notice available at https://www.twilio.com/legal/privacy. You may opt out from receiving these communications from us, however, you will still receive emails pertaining to your Twilio Champion status as long as you are a Twilio Champion.
5. Twilio Champions Program Code of Conduct. As a Twilio Champion, you are not only representing yourself, but also Twilio. As a Twilio Champion, you must comply with the Twilio Champions Program Code of Conduct, which is included at the bottom of these T&Cs as Exhibit A (“Code of Conduct”).
6. Brand Guidelines. As a Twilio Champion, Twilio gives you permission to reference Twilio’s name, logo, and branding (“Branding Materials”). Any Branding Materials that you use must follow Twilio’s Trademark Guidelines available at https://www.twilio.com/legal/trademark. Upon leaving the Program, please remove all Branding Materials and any references to being a current Twilio Champion. Twilio may revoke the permission it grants you under this Section 6 to reference Branding Materials at any time upon written notice.
7. Publicity. By participating in the Program, you give Twilio permission to use your name, likeness, content, professional title, and your company’s name, trademarks, and logo (subject to any trademark usage guidelines you provide to Twilio) for advertising, marketing, promotional, and related purposes in any media without further notice, payment, or consideration, except where prohibited by law.
8. Confidentiality and Ownership. “Twilio Confidential Information” means any information, materials, or data, regardless of whether it is in tangible form, disclosed by Twilio to you that is marked or otherwise designated as confidential or proprietary or that should otherwise be reasonably understood to be confidential given the nature of the information and the circumstances surrounding the disclosure. This does not include information which is publicly available (due to no breach of these T&Cs or fault of you), known by you before agreeing to these T&Cs without restriction and without violation of Twilio’s rights, or is independently developed by you without use or reference to Twilio’s Confidential Information.
Unless Twilio agrees in writing otherwise or as required by law or regulation, you agree to not use or make available any Twilio Confidential Information for any purposes that are not related to the Program. You will protect the confidentiality of Twilio Confidential Information using at least a reasonable degree of care. Your obligation to keep Twilio Confidential Information confidential will survive any expiration or termination of your status as a Twilio Champion or expiration or termination of these T&Cs.
Twilio owns and reserves all right, title, and interest in and to the Program, Twilio Confidential Information, and any feedback or suggestions you provide to Twilio, including regarding Twilio’s products and services. In the event that you create any content for or on behalf of Twilio or post content to a channel or account owned by Twilio (“Twilio Content”), you agree that (a) Twilio owns all right, title, and interest in and to any Twilio Content and (b) you hereby assign all right, title, and interest in and to any Twilio Content to Twilio.
9. Twilio Champion Status Expiration and Program Removal. Your Twilio Champion status will expire one (1) year following the date you were accepted into the Program, and you will be required to re-apply if you wish to become a Twilio Champion again after your status expires. You may withdraw from the Program at any time by notifying Twilio via email at champions@twilio.com from the email address you provided when you joined the Program. Twilio may also immediately remove you from the Program at any time and for any reason, including, but not limited to, a violation of these T&Cs or the Code of Conduct, or no reason and will inform you of such removal using the email you provided when you joined the Program.
10. No Employment or Compensation. No joint venture, partnership, employment, or agency relationship exists between you and Twilio as a result of these T&Cs or your being a Twilio Champion. You are not entitled to any compensation or in-kind benefits from Twilio for being a Twilio Champion, participating in the Program, or creating any Twilio Content.
11. DISCLAIMER. TWILIO AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTIES ABOUT THE ACCURACY, COMPLETENESS, AVAILABILITY, OR OPERATION OF THE PROGRAM AND THE INFORMATION AND MATERIALS ACCESSIBLE THROUGH IT. THE PROGRAM AND ANY SUCH INFORMATION AND MATERIALS ARE PROVIDED “AS IS.” TWILIO AND ITS AFFILIATES DISCLAIM ALL IMPLIED AND EXPRESS WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
12. LIMITATION OF LIABILITY. IN NO EVENT WILL TWILIO’S AGGREGATE LIABILITY TO YOU UNDER THESE T&Cs AND/OR IN CONNECTION WITH THE PROGRAM EXCEED ONE-HUNDRED DOLLARS ($100 USD). THE FOREGOING LIMITATION WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY.
13. General. These T&Cs are the entire agreement between you and Twilio for the Program and supersedes any other prior agreement, no matter the form, between you and Twilio for the Program. In the event that we update these T&Cs, Twilio will provide you with notice using the email you provided when you joined the Program. The updated version of these T&Cs will be available at https://www.twilio.com/legal/twilio-champions-program-terms-and-conditions and automatically supersede, in their entirety, all previous versions of these T&Cs.
These T&Cs will be governed by and interpreted according to the laws of the State of California. Any legal suit, action, or proceeding arising out of or relating to these T&Cs will be instituted in either the state or federal courts of San Francisco, California.
In the event that any provision of these T&Cs are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provision will be limited or eliminated to the minimum extent necessary to render such provision enforceable and the remainder of these T&Cs will continue in full force and effect.
You may not transfer your rights or obligations under these T&Cs to any other individual or third party without Twilio’s prior written consent.
Twilio Champions Program Code of Conduct
1. Purpose. The Twilio Champions Program is dedicated to providing a safe, inclusive, welcoming, and harassment-free space and experience for all, regardless of gender identity and expression, sex, sexual orientation, disability, physical appearance, socioeconomic status, body size, ethnicity, nationality, level of experience, age, or religion (or lack thereof) and we do not tolerate discrimination or harassment in any form.
This Twilio Champions Program Code of Conduct (“Code of Conduct”) applies to all Twilio Champions and the Twilio Champion Program, including but not limited to the Twilio Champions Program Slack workspace and Twilio Champions Program events (for both members and their guests), online and off, as well as in one-on-one communications.
Twilio may implement additional guidelines based on a particular situation, which will be publicly available to Twilio Champions and Twilio Champions are responsible for knowing and abiding by these guidelines.
Please help Twilio create a safe and positive experience for everyone who participates in the Twilio Champions Program and for our greater community.
2. Expected Behavior. Participate in an authentic and active way. In doing so, you contribute to the health and longevity of this community. Exercise consideration and respect in your speech and actions. Attempt collaboration before conflict. Refrain from demeaning, discriminatory, or harassing comments. Be mindful of your fellow Twilio Champions and contact Twilio via email at champions@twilio.com if you notice a dangerous situation, someone in distress, or someone violating this Code of Conduct, even if it seems inconsequential.
3. Unacceptable Behavior. Unacceptable behavior includes intimidating, harassing, abusive, discriminatory, derogatory or demeaning speech and comments by any Twilio Champion online or in-person.
Harassment includes, but is not limited to, harmful or prejudicial verbal or written comments related to gender, gender identity, gender expression, sexual orientation, sex, race, religion (or lack thereof), disability, inappropriate use of nudity and/or sexual images, deliberate intimidation, stalking or following, harassing photography or recording, sustained disruption of talks or other events, inappropriate contact, and unwelcome sexual attention.
Unacceptable behavior also includes engaging in any activities that violate any laws or regulations.
4. Consequences of Unacceptable Behavior. Twilio will not tolerate any unacceptable behavior from any Twilio Champion and any Twilio Champion asked to stop unacceptable behavior is expected to comply immediately.
If a Twilio Champion engages in unacceptable behavior, Twilio may take any action we deem appropriate, up to and including a temporary ban or permanent removal from the Twilio Champions Program and any other program offered by Twilio.
5. Reporting. If you experience or witness (or have experienced or witnessed) violations or potential violations of the Code of Conduct, or have any other concerns, please notify Twilio via email at champions@twilio.com. If you are experiencing a life-threatening emergency, dial the appropriate emergency services number based on your geographic location (i.e., 9-1-1 in North America).
6. Addressing Grievances. If you feel you have been falsely or unfairly accused of violating this Code of Conduct, notify Twilio via email at champions@twilio.com with a concise description of your grievance and Twilio will investigate the nature of the grievance. Twilio’s decision on any grievance will be final.
